Speargly Terms of Service

1.1 By creating an account, accessing, or using Speargly, you agree to be bound by these Terms and the related Glyffio documents listed in Section 2.

1.2 If you use Speargly on behalf of an organization, you represent that you have authority to bind that organization, and “you” and “Customer” refer to that organization.

1.3 If you do not agree to these Terms, you must not use Speargly.

2.1 Speargly is a SaaS product developed and operated by Glyffio. Speargly is not a separate legal entity. Customers contract with Glyffio for access to Speargly.

2.2 In these Terms:

• “Glyffio,” “we,” “us,” and “our” mean Glyffio.
• “Speargly” means the Speargly SaaS product and related services provided by Glyffio — a Visual Experience Platform (VXP) / visual delivery control plane and asset optimizer for website and media delivery.
• “Customer,” “you,” and “your” mean the person or organization using Speargly.
• “Services” means Speargly and related services provided by Glyffio under these Terms.

2.3 The following Glyffio documents apply where relevant:

• Glyffio Privacy Policy
• Glyffio Cookies Policy
• Glyffio Acceptable Use Policy
• Glyffio Data Processing Agreement, where applicable (see Section 12)

2.4 There is no separate Speargly Privacy Policy. Privacy practices for Speargly are described in the Glyffio Privacy Policy.

2.5 If you and Glyffio enter into a signed order form or other written agreement that expressly conflicts with these Terms, that signed agreement controls for the conflict. Otherwise, these Terms apply.

3.1 You must be able to form a binding contract to use Speargly. Speargly is intended for business and professional use (startups, SMEs, and teams optimizing digital product and website assets), not for children.

3.2 Some Speargly surfaces (including the public landing page and sample app flow) may be used without a paid account. Where account registration is required for a feature, you agree to provide accurate information and keep it up to date.

3.3 You are responsible for safeguarding any account credentials and for activity under your account. Notify us promptly at support@glyffio.com if you suspect unauthorized access.

4.1 Subject to these Terms, Glyffio grants you a limited, non-exclusive, non-transferable, revocable right to access and use Speargly for your internal business purposes.

4.2 Speargly is the visual delivery control plane between your existing media origins and end users. As described in Speargly product materials, Speargly is designed to let you:

• Ingest — register a public or authorized origin image URL (optional probe for format, size, and dimensions; select asset type and optimization policy);
• Assets — view a transient inventory of ingested origins;
• Queue — run optimize jobs (for example, PENDING → transform → COMPLETED) using policy-driven rules instead of one-off URL parameters;
• Explain — compare original versus delivered format, size, dimensions, and related savings (performance, bandwidth, or cost visibility where shown).

4.3 Speargly is not a digital asset management (DAM) system, content management system (CMS), or full media suite. Assets stay at your origin. Speargly fetches, transforms, and explains — it is not a permanent media archive.

4.4 Supported image formats described in Speargly materials include PNG, JPG, WebP, and AVIF. Optimization policies may apply transforms such as format ladders, resize bounds, quality modes, metadata strip, progressive JPEG, color normalize, compression, and smart cache. Supported formats and policies may change as the Services evolve.

4.5 You are responsible for obtaining all rights and permissions needed to submit origin URLs, media, and related content to Speargly, and for complying with third-party terms applicable to those origins.

5.1 You must use Speargly in accordance with the Glyffio Acceptable Use Policy and applicable law.

5.2 Without limiting that policy, you must not use Speargly to process unlawful content, infringe others’ rights, distribute malware, attempt unauthorized access, abuse the platform, or interfere with the Services.

6.1 “Customer Content” means content you submit to or process through Speargly, including origin URLs, media referenced by those URLs, asset-type tags, optimization policies you select, probe/job metadata, and related materials.

6.2 As between you and Glyffio, you retain ownership of Customer Content. You grant Glyffio a limited license to host, process, transmit, display, and otherwise use Customer Content solely to provide, maintain, secure, and improve the Services, and as otherwise permitted by these Terms or the Privacy Policy.

6.3 You represent that you have all rights necessary to provide Customer Content and to authorize Glyffio’s processing as described in these Terms.

6.4 Glyffio does not claim ownership of your underlying media merely because you ingest an origin URL or run an optimization job.

7.1 Glyffio and its licensors own Speargly, including software, interfaces, documentation, branding, and all related intellectual property. These Terms do not transfer ownership of the Services to you.

7.2 You may not copy, modify, reverse engineer (except to the extent permitted by law), resell, or create derivative works of the Services except as expressly allowed in writing.

7.3 Feedback you provide about Speargly may be used by Glyffio without obligation to you.

8.1 Speargly interoperates with third-party media origins you designate (by URL). Glyffio is not responsible for those origins or for other third-party services you connect or rely on.

8.2 Your use of third-party services is governed by those third parties’ terms and privacy practices.

9.1 Speargly is currently presented as a free, web-based asset optimizer on Glyffio/Speargly product pages (including public ingest and optimize flows). No paid plans, checkout, or subscription pricing are published in those materials.

9.2 If Glyffio later introduces paid plans, applicable fees, plan limits, and billing terms will be shown at purchase or in an order form before you are charged.

9.3 You are responsible for applicable taxes on any future paid amounts, except taxes based on Glyffio’s income.

10.1 Speargly’s current public web access (landing page URL prefill into Ingest, and the Ingest → Assets → Queue → Explain app flow) constitutes promotional or free access as described on Speargly product pages.

10.2 Glyffio may modify or end free or promotional access at any time, unless a written commitment says otherwise. If paid plans are introduced, continued use of paid features may require a subscription.

11.1 You may stop using Speargly at any time and may request account closure (where an account exists) by contacting support@glyffio.com.

11.2 Glyffio may suspend or terminate access if you breach these Terms or the Acceptable Use Policy, if required by law, or if continued use creates risk to the Services, other users, or third parties.

11.3 Upon termination, your right to use Speargly ends. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

12.1 Glyffio’s collection and use of personal data in connection with Speargly is described in the Glyffio Privacy Policy.

12.2 Where applicable, Glyffio and Customer may enter into a separate Data Processing Agreement governing the processing of Personal Data on Customer’s behalf.

12.3 You are responsible for providing any notices and obtaining any consents required for Customer Content that includes personal data.

13.1 Glyffio aims to keep Speargly available and useful, but does not guarantee uninterrupted or error-free operation.

13.2 Speargly may be unavailable due to maintenance, updates, failures, or events beyond Glyffio’s reasonable control. No service-level commitment applies unless set out in a separate written agreement. Product statistics shown on Speargly marketing pages (for example, smaller files or faster pages) are illustrative, not contractual guarantees.

14.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEARGLY IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14.2 Glyffio does not warrant that optimization results, performance metrics, bandwidth savings, or cost estimates will meet any particular target, or that Speargly will be compatible with every origin, format, or environment.

15.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLYFFIO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

15.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLYFFIO’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO GLYFFIO FOR SPEARGLY DURING THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) THE MINIMUM AMOUNT REQUIRED BY APPLICABLE LAW. IF YOU USE SPEARGLY SOLELY UNDER A FREE PLAN AND HAVE NOT PAID ANY FEES TO GLYFFIO, GLYFFIO WILL HAVE NO LIABILITY FOR SUCH CLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15.3 Some jurisdictions do not allow certain limitations; in those cases, the limitation applies to the fullest extent permitted.

16.1 You will defend and indemnify Glyffio against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) Customer Content; (b) your use of Speargly in violation of these Terms or law; or (c) your infringement or misappropriation of third-party rights.

17.1 Glyffio may modify, add, or discontinue Speargly features. Material reductions in core paid functionality (if paid plans exist) may be communicated through the Services or by email when practicable.

18.1 Glyffio may update these Terms from time to time. The “Last updated” date will reflect changes. Continued use after the updated Terms become effective constitutes acceptance, except where applicable law requires additional consent.

18.2 Current Terms will be available at https://speargly.com/policies/tos.

19.1 Governing Law. These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict-of-law principles.

19.2 Jurisdiction. The parties agree that the courts of Singapore shall have exclusive jurisdiction to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services.

20.1 These Terms, together with the related Glyffio documents referenced herein and any applicable order form or DPA, are the entire agreement between you and Glyffio regarding Speargly, and supersede prior or contemporaneous agreements on that subject.

20.2 If any provision is unenforceable, the remainder remains in effect.

20.3 Failure to enforce a provision is not a waiver.

20.4 You may not assign these Terms without Glyffio’s prior written consent. Glyffio may assign these Terms in connection with a merger, acquisition, or sale of assets.
